Welcome to Mention Network (“we,” “us,” or “Mention Network”). Mention Network is a decentralized and incentivized data network designed to connect users contributing anonymous AI data with brands seeking to enhance their visibility in AI search engines and optimize for Generative Engines.

By accessing, using, or registering for Mention Network’s services (hereinafter referred to as “Services”), you confirm that you have read, understood, and agree to be bound by the terms and conditions set forth in these Terms of Service (“Terms”). Please read these Terms carefully before using our Services. If you do not agree with any part of these Terms, you are not permitted to use our Services.

1. Acceptance of Terms

1.1. Binding Legal Agreement 

By accessing and using the Services, you acknowledge that you have read, understood, and agree to comply with these Terms, as well as our Privacy Policy, which is incorporated herein by reference.

1.2. Organizational Representation 

If you are using the Services on behalf of an organization, you represent and warrant that you have the full legal authority to bind that organization to these Terms. In such a case, the term “you” will include the organization.

1.3. Changes to Terms 

Mention Network reserves the right to modify or replace these Terms at any time at our sole discretion. We will notify you of any material changes by posting the new Terms on our website or through other communication channels. Your continued access or use of the Services after such modifications become effective constitutes your acceptance of the revised Terms. If you do not agree to the new Terms, you must stop using the Services.

2. Description of Services

Mention Network provides a platform for two main user groups, operating on a decentralized and privacy-preserving basis, while supporting optimization for Generative Engines:

2.1. For Contributors (Users)

• Earn from AI Activity: Enables users to earn rewards by sharing anonymized data about how they interact with AI tools (e.g., ChatGPT, Gemini, etc.), particularly brand-related mentions.
• Privacy Protection: The platform collects only anonymized brand mentions, containing no personally identifiable information from users.
• Contribute to Transparent AI Data: Helps build a decentralized, user-owned dataset that shapes the future of AI search and interaction, while providing valuable data for Generative Engine Optimization.

2.2. For Brands

• AI Visibility Reports: Provides detailed insights and analytics on how brands are mentioned, displayed, and interacted with in AI tools and responses from Generative Engines.
• Trending on AI: Tracks trends and the popularity of brands in AI responses and conversations, supporting Generative Engine Optimization strategies.
• Enhance AI Visibility: Utilizes data and insights from Mention Network to optimize marketing strategies, improving brand presence and visibility in AI tools and Generative Engines.

3. User Rights and Responsibilities

3.1. For Contributors

• Connect AI Accounts: You agree to connect your AI tools with Mention Network according to our technical guidelines. You are responsible for the security of your AI accounts.
• Lawful and Ethical Use: You commit to using AI tools and Mention Network’s Services lawfully and ethically, without violating any applicable laws, regulations, or third-party rights.
• Consent to Data Collection: You agree to allow Mention Network to collect and process data regarding anonymized brand mentions from your AI activity for the purpose of the Services, including for Generative Engine Optimization. You understand that this data will be aggregated and analyzed to provide insights to brands.
• Accurate Information: You commit to providing accurate, complete, and up-to-date information when registering an account and using the Services.

3.2. For Brands

• Account Registration and Verification: You agree to register a brand account and provide accurate, complete, and verifiable information as requested by us.
• Responsible Data Use: You commit to using the reports, analytics, and data provided by Mention Network solely for your internal purposes and not to share, sell, license, or redistribute that data to any third party without our express written consent. The use of data for Generative Engine Optimization must comply with these Terms.
• Compliance with Laws and Regulations: You commit to complying with all applicable laws and regulations related to marketing, advertising, and data privacy when using information from the Services, including principles of Generative Engine Optimization.
• Content Responsibility: You are solely responsible for any content or campaigns you develop based on information from the Services.

3.3. Prohibited Conduct

When using the Services, you are prohibited from:

• Violating any applicable law, rule, or regulation.
• Impersonating any person or entity, or misrepresenting your affiliation with a person or entity.
• Interfering with or disrupting the Services or the servers and networks connected to the Services.
• Using any robot, spider, site search/retrieval application, or other automated device, process, or means to access, retrieve, scrape, or index any portion of the Services, especially actions that could distort data or harm Generative Engines.
• Taking any action that imposes or may impose an unreasonable or disproportionately large load on our infrastructure.
• Uploading, posting, emailing, or otherwise transmitting any material that contains software viruses or any other computer code, files, or programs designed to interrupt, destroy, or limit the functionality of any computer software or hardware or telecommunications equipment.
• Attempting to gain unauthorized access to any portion of the Services, other user accounts, or computer systems or networks connected to the Services.

4. Privacy

Your privacy is our top priority. Mention Network is committed to collecting only anonymized data, free from personally identifiable information, from your AI activity. For more details on how we collect, use, and protect your data, please refer to our Privacy Policy, available on our website.

5.Intellectual Property

5.1. Mention Network’s Ownership

All intellectual property rights related to the Services, including but not limited to software, source code, designs, text, graphics, logos, trademarks, trade names, and other content, are the exclusive property of Mention Network or our licensors.

5.2. License Limitations 

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Services solely for your personal or internal business purposes, in accordance with these Terms. You may not copy, modify, distribute, sell, lease, reverse engineer, or create derivative works from any part of the Services or accompanying software, unless expressly permitted in writing by Mention Network.

5.3. Data 

Anonymized data collected through the Services will be used by Mention Network to improve and develop the Services, as well as to provide aggregated insights to brands in accordance with these Terms, including for the purpose of supporting Generative Engine Optimization. Mention Network retains ownership of all aggregated and anonymized data generated from the Services.

6. Disclaimer of Warranties and Limitation of Liability

6.1. Disclaimer of Warranties 

The Services are provided “as is” and “as available” without any warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, completeness, or reliability of any information provided through the Services. Mention Network does not warrant that the Services will be uninterrupted, error-free, secure, or that any defects will be corrected.

6.2. Limitation of Liability 

To the maximum extent permitted by law, Mention Network, its affiliates, directors, officers, employees, agents, and suppliers shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, goodwill, business interruption, or any other intangible losses, arising from or related to: (a) your access to or use of or inability to access or use the Services; (b) any conduct or content of any third party on the Services; (c) any content obtained from the Services; and (d) unauthorized access, use, or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence), or any other legal theory, whether or not we have been informed of the possibility of such damage, and even if a remedy set forth herein is found to have failed of its essential purpose.

6.3. Overall Limitation of Liability 

In no event shall the total liability of Mention Network to you for all claims arising from or related to these Terms or your use of the Services exceed the amount you paid to Mention Network in the twelve (12) months preceding the event giving rise to the claim, or the minimum amount permitted by applicable law, whichever is greater.

7. Indemnification

You agree to indemnify, defend, and hold harmless Mention Network, its affiliates, directors, officers, employees, agents, suppliers, and licensors from and against any and all claims, liabilities, damages, losses, costs, and expenses (including but not limited to reasonable attorneys’ fees) arising from or related to: (a) your access to or use of the Services; (b) your breach of any term of these Terms; (c) your violation of any rights of a third party, including without limitation any intellectual property, privacy, or publicity right; or (d) any content you submit, post, or transmit through the Services.

8. Termination

8.1. Termination by Mention Network 

Mention Network may terminate or suspend your access to the Services immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms, or if we believe your conduct is harmful to the Services or other users.

8.2. Termination by User 

You may terminate your account at any time by following the instructions on our website.

8.3. Effect of Termination 

Upon termination, your right to use the Services will immediately cease. All provisions of these Terms which by their nature should survive termination, including without limitation ownership provisions, warranty disclaimers, indemnity, and limitations of liability, shall survive termination.

9. Dispute Resolution

9.1. Governing Law 

These Terms shall be governed by and construed in accordance with the laws of the Hong Kong Special Administrative Region of the People’s Republic of China, without regard to its conflict of law principles.

9.2. Amicable Resolution 

Any dispute, claim, or controversy arising out of or relating to these Terms or the Services shall first be resolved through good faith negotiations between the parties.

9.3. Arbitration 

If the dispute cannot be resolved through negotiation within thirty (30) days from the date one party notifies the other of the dispute, the dispute shall be submitted to binding arbitration in accordance with the Rules of Arbitration of the International Chamber of Commerce (ICC) or an equivalent international arbitration organization, at a location mutually agreed upon by the parties. The arbitration award shall be final and binding upon the parties.

10. General Provisions

10.1. Entire Agreement 

These Terms, together with the Privacy Policy and any other legal notices published by Mention Network on the Services, constitute the entire agreement between you and Mention Network regarding the Services and supersede all prior or contemporaneous agreements, communications, and proposals, whether oral or written, between you and Mention Network.

10.2. Severability 

If any provision of these Terms is found by a court or arbitrator of competent jurisdiction to be invalid or unenforceable, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions of these Terms will remain in full force and effect.

10.3. No Waiver 

Mention Network’s failure to enforce any right or provision of these Terms will not be considered a waiver of those rights or provisions.

10.4. Assignment 

You may not assign or transfer any of your rights or obligations under these Terms without Mention Network’s prior written consent. Mention Network may freely assign or transfer its rights and obligations under these Terms without restriction.

10.5. Force Majeure 

Mention Network shall not be liable for any delay or failure to perform its obligations under these Terms due to causes beyond our reasonable control, including but not limited to acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, or shortages of transportation facilities, fuel, energy, labor, or materials.
